Terms of Service

These Terms of Service ("Terms") are an agreement between you and Dev Net Technologies LLC, a North Carolina limited liability company doing business as Dial Pipes ("Dial Pipes", "we", "us"), and govern access to and use of the Dial Pipes website and the Dial Pipes app for Pipedrive (the "Service"). You agree to these Terms by accepting them in the Service, by accepting them when requesting beta access, or by installing, connecting or using the Service. If you accept these Terms on behalf of a company, you represent that you are at least 18 years old and authorized to bind that company, and "you" and "Customer" refer to that company. The Service is provided for business use only, and its use is voluntary.

1. The Service and eligibility

The Service connects a Customer's Phone.com account to its Pipedrive account so that users can place calls from Pipedrive and have calls, recordings and notes added to Pipedrive. You must maintain your own Phone.com and Pipedrive accounts, and your use of them is governed by their respective terms. Phone.com and Pipedrive are not parties to these Terms and are not responsible for the Service. Dial Pipes is an independent product and is not affiliated with or endorsed by Phone.com or Pipedrive. The Service is not a telephone service and does not provide access to emergency services.

Eligibility. The Service is not offered to, and may not be used by, any person or company that is located or established in, or that uses the Service to process personal data of individuals located in, a jurisdiction whose laws would require Dial Pipes, as the provider of the Service, to: (a) give advance notice of changes to its service providers; (b) allow audits or inspections by its customers; (c) delete or return customer data at the end of the service; or (d) enter into a data processing agreement. These jurisdictions include the European Economic Area, the United Kingdom and Switzerland, and the restriction extends to businesses subject to the California Consumer Privacy Act or a similar US state law that requires a contract with service providers. More generally, if any law that applies to you or to your use of the Service would impose on Dial Pipes an obligation that is not set out in these Terms, or would prevent any provision of these Terms from applying as written, you are not eligible. Dial Pipes does not undertake any such obligation. If you are not eligible, you are prohibited from using the Service, and any use of the Service by an ineligible person or company is a breach of these Terms. By accepting these Terms, you represent that you are eligible and will remain eligible while you use the Service.

2. Closed beta

The Service is currently offered as a closed beta. Admission is at Dial Pipes' sole discretion. Submitting a request for beta access does not guarantee admission or a response. During the beta:

• the Service is provided free of charge, and no charges apply unless you subscribe to a paid plan;
• features may be added, changed or removed, and some features may be identified as being in testing;
• the Service may be interrupted or unavailable, and no service levels apply; and
• Dial Pipes may end the beta, or a Customer's participation in it, at any time.

Continued use of the Service after paid plans become available requires a paid subscription on the terms then in effect.

3. Beta discount

Customers admitted to the closed beta are entitled to a discount of 15% off the then-current list price of their Dial Pipes subscription for as long as they maintain a continuous paid subscription. The discount applies to the Customer's account, is not transferable, has no cash value and cannot be combined with other discounts unless Dial Pipes agrees in writing.

4. Your responsibilities

You initiate all calls and messages made through the Service and are responsible for their lawfulness, including compliance with the Telephone Consumer Protection Act, do-not-call rules, and call recording and wiretap laws. You are responsible for providing any notice and obtaining any consent required, including the consent of all parties where applicable, before calls are recorded, and for disclosing that calls may be transcribed and summarized by AI service providers. You are also responsible for:

• the settings you choose in the Service, including whether recordings, transcripts, summaries and text messages are added to Pipedrive;
• the accuracy of information added to Pipedrive and Phone.com through the Service;
• keeping your Phone.com and Pipedrive credentials secure and limiting access to authorized users; and
• the acts and omissions of your users.

5. Acceptable use

You must not:

• use the Service for unlawful, fraudulent or abusive calling or messaging, including unsolicited automated calls;
• access the Service or its data other than through the interfaces we provide;
• interfere with the security or operation of the Service, or test its vulnerabilities without our written permission;
• copy, modify, reverse engineer or resell the Service, except as permitted by law;
• use the Service to develop a competing product; or
• use the Service in violation of applicable export control or sanctions laws.

6. Customer Data

You retain all rights in the information you and your users process through the Service ("Customer Data"). Dial Pipes processes Customer Data only to provide the Service, as described in our Privacy Policy. Dial Pipes does not retain call information beyond the periods stated in the Privacy Policy.

7. Feedback

If you provide feedback or suggestions about the Service, you grant Dial Pipes a perpetual, irrevocable, royalty-free, worldwide license to use them without obligation to you. Feedback does not include Customer Data.

8. Confidentiality

Each party will keep the other party's non-public information confidential and use it only for purposes of these Terms. Beta features of the Service and information about their performance are Dial Pipes' confidential information.

9. Intellectual property

The Service, the website and their content are owned by Dev Net Technologies LLC and its licensors. Subject to these Terms, Dial Pipes grants you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes. Information on our website, including comparisons with other products, reflects publicly available information on the dates stated and is provided for general information only. Product names are trademarks of their respective owners.

10. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, Dial Pipes disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. Dial Pipes does not warrant that the Service will be uninterrupted or error-free, or that every call, recording, transcript, summary or message will be logged or delivered. AI-generated transcripts and summaries may be inaccurate and should be reviewed before they are relied on. Dial Pipes is not responsible for services provided by Phone.com, Pipedrive or other third parties.

11. Limitation of liability

To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill. Dial Pipes' total liability arising out of or relating to the Service or these Terms will not exceed the greater of the amounts you paid for the Service in the 12 months before the event giving rise to liability and 100 US dollars. These limitations do not apply to your obligations under Section 12, your payment obligations, your breach of Section 5, or liability that cannot be limited by law.

12. Indemnity

You will defend and indemnify Dial Pipes against third-party claims, and related fines, penalties and reasonable attorneys' fees, arising from your calls and messages, your Customer Data or your breach of these Terms, including claims relating to call recording, consent or telemarketing laws. Dial Pipes will give you notice of the claim, allow you to control its defense and provide reasonable cooperation. You may not settle a claim in a way that imposes obligations on Dial Pipes without its consent.

13. Suspension and termination

You may stop using the Service at any time by uninstalling it from Pipedrive. Dial Pipes may suspend or terminate your access at any time, for any reason or no reason. Sections 6, 7, 8, 9 (as to ownership), 10, 11, 12, 15, 16 and 17, and any accrued payment obligations, survive termination.

14. Changes to these Terms

Dial Pipes may change any part of these Terms, the Service, its features or its pricing at any time, for any reason or no reason, without notice. Changes take effect when the updated Terms are posted on this page with a new effective date. You are responsible for reviewing these Terms periodically. If you do not agree to a change, your sole remedy is to stop using the Service. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.

15. Governing law and disputes

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict of laws rules. The state and federal courts located in North Carolina have exclusive jurisdiction over any dispute arising out of or relating to the Service or these Terms, and each party submits to the personal jurisdiction of those courts.

16. Force majeure

Neither party is liable for any failure or delay caused by events beyond its reasonable control, including failures of Phone.com, Pipedrive, internet or hosting providers.

17. General

These Terms are the entire agreement between you and Dial Pipes concerning the Service. Dial Pipes may send notices to the email address of your account administrator or by posting them in the Service; you may send notices to support@dialpipes.com. If any provision is found unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without Dial Pipes' consent; Dial Pipes may assign them in connection with a merger, acquisition or sale of assets.
